1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and ERPeek ("we," "us," or "our") governing your access to and use of the ERPeek platform, including our website, API, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
2. Description of Service
ERPeek is an AI-powered code intelligence platform designed specifically for Odoo. The Service provides semantic search, code indexing, and natural language Q&A over your Odoo codebase. Key features include: connecting your GitHub repositories containing Odoo modules; indexing code for hybrid (keyword + semantic) search; asking questions in plain English and receiving code-grounded answers with citations; and version-scoped analysis to ensure answers respect your Odoo version.
The Service processes your code to build searchable indexes and generate answers. Code and repository data are isolated per project; your indexed data is not shared with other users or used to train general-purpose models. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue features with reasonable notice.
3. User Accounts
To use the Service, you must create an account. You may sign up using GitHub OAuth or Google OAuth. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity under your account.
When you connect via GitHub, we request access to repositories you authorize. We use this access solely to index code for the Service. You may revoke repository access at any time through your GitHub settings. When you sign in with Google, we receive your email and name for account identification only.
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
4. Tokens & Billing
ERPeek uses a token-based pricing model, not subscriptions. Tokens are consumed when you ask questions, run searches, or perform other AI-powered operations. New accounts receive a limited number of free tokens. Additional tokens can be purchased as needed.
Payments are processed through Stripe. By purchasing tokens, you agree to Stripe's terms and to provide valid payment information. All fees are in U.S. dollars unless otherwise stated. Token purchases are generally non-refundable except where required by law or at our sole discretion. We may change token pricing with reasonable notice; price changes will not affect tokens already purchased.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not: (a) use the Service to violate any law or infringe any third-party rights; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) use the Service to distribute malware, spam, or harmful code; (d) abuse the Service in a manner that degrades performance for others; (e) reverse engineer, decompile, or extract source code from the Service except as permitted by law; or (f) use the Service to build a competing product.
We may suspend or terminate your access if we reasonably believe you have violated these Terms or engaged in abusive conduct. We reserve the right to enforce these policies at our discretion.
6. Intellectual Property
ERPeek and its branding, software, and documentation are owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.
You retain all rights to your code and repository content. By using the Service, you grant us a limited license to process, index, and analyze your code solely to provide the Service. We do not claim ownership of your code. Our AI models do not train on your code for purposes other than serving your requests within the Service.
7. Third-Party Services
The Service integrates with third-party services, including GitHub (for OAuth and repository access), Google (for OAuth), and Stripe (for payments). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
AI processing may be performed using third-party providers (e.g., Anthropic, OpenAI). We select providers that commit to data handling practices consistent with our privacy obligations. Code and prompts sent for processing are used only to fulfill your requests and are not used to train general-purpose models.
8. Disclaimers & Limitations
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
AI-generated answers may contain errors or inaccuracies. You are responsible for verifying critical information before relying on it. We recommend reviewing cited code and conducting your own validation for production decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Termination
You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access immediately if you breach these Terms, for non-payment, or for any other reason at our discretion.
Upon termination, your right to use the Service ceases. We will retain your data in accordance with our Privacy Policy and data retention practices. Sections that by their nature should survive (including Intellectual Property, Disclaimers & Limitations, and Governing Law) will survive termination.
10. Governing Law & Contact
These Terms are governed by the laws of the jurisdiction in which ERPeek operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
